CONSTITUTION

SOUTH CAROLINA ASSOCIATION OF CHEMISTRY TEACHERS

ARTICLE I: NAME

SECTION 1: The name of this organization shall be the South Carolina Association of Chemistry Teachers.

ARTICLE II: PURPOSES

SECTION 1: The purposes of the South Carolina Association of Chemistry Teachers shall be the advancement, stimulation, extension, improvement, recognition and coordination of chemistry teaching.

SECTION 2: The Association of Chemistry Teachers may solicit, collect, and otherwise raise money; may accept own, manage and sell properties; may expend contribute, disburse and otherwise handle and dispose of funds, either directly or by contribution to other organizations and agencies; but no monies earned or received shall inure to the monetary benefit of any member of the Association or individual other than awards to recognize meritorious achievement.

ARTICLE Ill: MEMBERSHIP

SECTION 1: Membership Is available to those actively engaged In the teaching of chemistry and/or other physical sciences and those interested in physical science education.

SECTION 2: Different categories of membership shall be defined in the by-laws

ARTICLE IV: ORGANIZATION AND OFFICERS

SECTION 1: The officers of the South Carolina Association Of Chemistry Teachers shall be a President, a President-Elect, a Vice President, a Secretary and a Treasurer.

SECTION 2: The South Carolina Association of Chemistry Teachers shall be governed by an Executive Committee consisting of the President, the President-Elect, the Vice President, the Secretary, the Treasurer, the immediate Past President, and two at-large members appointed by the President. The President shall be the Chairman of the Executive Committee.

SECTION 3: The powers and duties of the of the officers together with the method of their election shall be as prescribed in the By-Laws.

SECTION 4: Should the South Carolina Association of Chemistry Teachers dissolve or should it merge with another non-profit organization with similar aims and purposes, all assets of the Association will be disposed of by action of the then existing Executive Committee.

Dissolution: All assets, after all debts and obligations have been met, will be transferred to a non-profit organization with similar aims and purposes which has qualified for tax exemption under Section 501 (c) (3) of the Internal Revenue Code.

Merger: All assets, after all debts and obligations have been met, will be transferred to the treasury of the new organization in accordance with specific terms of the merger. The Association can merge only with an organization which has qualified for tax exemption under Section 501 (c) (3) of the Internal Revenue Code.

ARTICLE V: QUORUM

SECTION 1: A simple majority of the Executive Committee shall a quorum of the body.

SECTION 2: The number of persons with Full Membership status present at an appropriately announced meeting of the membership shall constitute a quorum of the membership.

ARTICLE VI: AMENDMENTS

SECTION 1: Proposed amendments to the Constitution may originate in Executive Committee or may be submitted to the Executive Committee by any member of the Association. If approved by a majority of the Executive Committee the proposed amendment shall be processed by the Secretary as outlined Section 3.

SECTION 2: A Proposed amendment submitted to the Secretary with the signatures of 10% of the full membership shall not require approval of the Executive Committee.

SECTION 3: The Secretary shall furnish all full members of the Association with copies of the proposed amendment at the time when notice of the next meeting of the Association is given. At that meeting the proposed amendment shall be discussed and may be modified if a majority of the full members present desire it.

SECTION 4: Immediately following the meeting of the Association, the Secretary shall mail to each full member of the Association a copy of the proposed amendment or modified amendment. The mailing shall include a ballot by which a member may clearly show approval or disapproval of the proposed amendment and the date the amendment will become effective, if approved. The ballots shall be returned to the Secretary and must be postmarked no later than 15 days after the mailing to be valid. Amendments shall be adopted if approved by 2/3 of the full members returning ballots to the Secretary within the specified time. The Secretary shall report the results of the balloting to the Executive Committee within 3 days of validation and shall submit the results to the Newsletter Editor for publication.

SECTION 5: Amendments to the Constitution, if adopted by the Association, shall become effective on the date specified on the ballot or at the beginning of the next Association year if no date is specified on the ballot.
